MEMBERS’ RESPONSIBILITY
In the AGM members are mandated to elect Board members and appoint external Auditors. Therefore, holding the Board responsible and accountable for effective corporate Governance and accountability to members. At the 3rd Annual General Meeting members elected the new Board and Supco democratically (one person one vote) as stipulated in the cap 112 section 18.
CPA SACCO BOARD MEMBERS
The Board comprise of elected members with a variety of skills and experience required to steer and guide the members on overall objective of the society. It is its responsibility to provide strategic direction, to act on behalf of the society, evaluate performance, supervise management and report to members in the AGM. Through their formal meeting they are able to pass resolutions, flow up implementation, evaluate and control any decision and it is one of the ways through which the board members’ performance can be measured.
BOARD COMMITTEES:
The Board appoints and operationalizes the loans committee, finance and investment committee which focus on the major operational guidelines with loan management and investment management decisions for the Sacco to obtain the maximum returns desired.

CRITERIA FOR ELECTION OF BOARD AND SUPERVISORY COMMITTEE MEMBERS (2016-2018) QUALITIES OF A GOOD CO-OPERATIVE LEADER
The success of any co-operative depends, more than anything else, on the quality of its leaders. It is therefore absolutely necessary that a co-operative leader should possess and exhibit the following leadership qualities:
- Dedication and loyalty to the co-operative cause and the community at large,
- Trustworthiness and honesty,
- Good knowledge of the co-operative business model,
- Objectivity and fairness,
- Listening and consensus building,
- General business aptitude,
- Ability to make logical judgment on a wide range of co-operative issues,
ELIGIBILITY FOR MEMBERSHIP TO THE BOARD OF CPA SACCO LIMITED
No person shall be eligible as a member of Board or Director if he/she;-
a) Has not been a member of the SACCO for at least one year prior to the Annual General Meeting.
b) Has been adversely named by the Commissioner or his/her representative in an inquiry report endorsed by an Annual or Special General Meeting for mismanagement or corrupt practices whilst still a member of the Board of a co-operative society or union in the last ten years, or named in any other national inquiries where he/ she has been shown to be engaging in dishonest activities,
c) Has been charged of any offence involving dishonesty, a crime involving fraud, perjury or breach of contract of a licensed financial institution.
d) Is delinquent on loans with the SACCO for more than 60 days within 2 years prior to elections;
e) Is un-discharged bankrupt ;
f) Is of unsound mind;
g) Is a Board member of another existing society licensed under the Act;
